Terms & Conditions
1. Introduction
These Terms and Conditions ("Terms") govern the provision of consulting and advisory services ("Services") by Weyon Health Advisory ("we," "us," or "our") to the client ("you" or "Client"). By engaging our Services, you agree to be bound by these Terms.

2. Scope of Services
We will provide consulting services as agreed in writing between parties. The scope, deliverables, timelines, and fees will be detailed in separate agreements or work orders.

3. Confidentiality
Both parties agree to keep confidential all proprietary and sensitive information disclosed during the engagement. Confidential Information shall not be used or disclosed except as necessary to perform the Services and as permitted by law.

4. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in materials created during the course of consulting services shall remain with Weyon Health Advisory. The Client receives a limited licence to use deliverables solely for its internal business purposes.

5. Fees and Payment
Fees for services shall be as agreed in the relevant agreement. Payments are due within the specified terms. Late payments may incur interest charges as permitted by law.

6. Independent Contractor
Our consultants act as independent contractors. Nothing in these Terms creates an employer-employee, agency, partnership, or joint venture relationship.

7. Liability and Indemnity
To the maximum extent permitted by law, we exclude liability for any loss or damage arising from use of our Services. The Client agrees to indemnify and hold us harmless from claims arising out of Client’s misuse or reliance on advice.

8. Term and Termination
Agreements shall commence on the effective date and continue until completion or termination. Either party may terminate with reasonable notice. Upon termination, the Client shall pay for all completed work.

9. Compliance with Laws
Both parties agree to comply with applicable laws, regulations, industry codes, and ethical standards, including those relevant to pharmaceutical consulting.

10. Data Protection
We comply with applicable data protection laws in handling personal data related to the Services. Further details are set out in our Privacy Policy.

11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the jurisdiction agreed in the relevant engagement agreement. Any disputes shall be subject to the exclusive jurisdiction of the courts therein.

12. Entire Agreement
These Terms, along with any written agreements, constitute the entire agreement between the parties and supersede prior understandings.
